GoCollective announces that it has reached an agreement with the Ministry of Urban and Rural Affairs and Transport regarding the early termination of its Rail operations contract.
Following the previously communicated intention to transfer Rail operations to DSB, the parties have signed a definitive agreement, which remains subject to approval by the Finance Committee. The contract will terminate on 1 September 2026. As part of the transaction, DSB will take over the Rail operations, including assets and employees.
The agreement enables an orderly and structured handover of operations, ensuring continuity of service for passengers and a seamless transition for employees.
Subject to the occurrence of the closing under the Agreement with the Ministry, GoCollective Holding A/S presently expects (i) that part of the net proceeds of mEUR 64,14 from the sale of the trains under the Agreement with the Ministry will be applied to redeem its outstanding EUR 50 million bonds (ISIN Code NO0013185835) in full and (ii) in connection with the closing of the sale of the trains, to initiate and complete the voluntary redemption process in accordance with the terms and conditions of the Bonds.
This announcement does not constitute a notice of redemption under the terms and conditions of the Bonds, and any such redemption will be effected only by a separate bondholder notice and redemption announcement in accordance with the terms and conditions of the Bonds.
